The Parties
- Operator: AmaZen Marketplace Ltd
- Seller: Businesses listing products on the Platform
Purpose
Operation of an online marketplace enabling Sellers to sell products directly to customers within the South Hams, with Operator earning 6.25% commission on completed sales to fund the growth of the platform, marketing and operating costs.
Platform Role
Operator acts as commercial agent only. The contract of sale is between Seller and Customer. At present the Operator does not own, hold, or supply goods, but there is scope to create a local distribution hub for Amazen in future.
Seller Eligibility
Sellers must be legitimate businesses and comply with all applicable UK laws, including the Consumer Rights Act 2015, Consumer Contracts Regulations 2013, and product safety legislation. Operator may approve, suspend, or remove Sellers at its discretion.
Listings & Products
Sellers are responsible for the accuracy, legality, safety, pricing, and compliance of all listings. Listings should be provided to the Operator in an update-to-date csv file format. Operator may remove or amend listings to protect customers or the Platform. Sellers must ensure listed products are in stock and readily available for sale to Customers, or notify Amazen’s Partner Coordinator (mariella@amazen.org.uk) to pause or remove products that are out of stock or no longer for sale.
Pricing & Commission
Sellers set retail prices. Operator earns a commission on each completed sale, exclusive of VAT unless stated.
Payments
Operator collects customer payments as agent and remits net proceeds to Sellers after deducting commission and applicable fees. Operator may withhold funds for refunds, chargebacks, or disputes.
VAT & Tax
Sellers remain responsible for VAT registration, VAT accounting, and all taxes on sales unless Operator is deemed supplier under UK VAT law. Sellers must provide accurate VAT information.
Delivery, Returns & Refunds
Sellers are responsible for fulfilment, delivery, returns, refunds, and compliance with UK consumer law. Sellers agree to minimise plastic packaging and use environmentally friendly materials wherever possible. Sellers bear the cost of chargebacks and failed delivery.
Customer Support & Disputes
Primary customer support obligations rest with Sellers. Operator may intervene to help resolve disputes and protect the Platform.
Intellectual Property
Sellers retain ownership of product IP and grant Operator a licence to use listing content for platform operation and marketing. Operator retains all IP in the Platform.
Data Protection
Each party acts as an independent data controller and shall comply with UK GDPR and the Data Protection Act 2018.
Warranties & Indemnity
Sellers warrant legal right to sell, product safety, and legal compliance, and shall indemnify Operator against product liability, regulatory, and IP claims.
Liability
Operator’s liability is limited to the maximum extent permitted by law and capped at total commissions earned from the Seller in the previous 12 months.
Insurance
Sellers must maintain adequate product and public liability insurance.
Termination
Either party may terminate on 30-day’s notice. Operator may immediately suspend or terminate for breach, illegality, or reputational risk.
Governing Law
English law. Courts of England and Wales.
